Agreement: These Trainer Partner Terms and Conditions (the “Agreement”) govern the relationship between SENMARKETING DIGITAL LIMITED (“we”, “us”, or “our”) and the trainer partner (“Trainer”, “you”, or “your”) who wishes to offer courses through our platform. 1.2. Acceptance: By registering as a Trainer and offering courses on our platform, you agree to comply with and be bound by this Agreement. 2. Registration and Trainer Account 2.1. Eligibility: To become a Trainer, you must complete the registration process, provide accurate and complete information, and meet our eligibility criteria. 2.2. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. 3. Course Listings 3.1. Course Content: You must provide accurate and detailed information about each course, including course description, duration, schedule, prerequisites, and fees. You are responsible for ensuring the content is up-to-date and accurate. 3.2. Compliance: All courses must comply with applicable laws, regulations, and industry standards. You must obtain and maintain any necessary licenses, permits, and approvals required to offer your courses. 3.3. Quality Assurance: You agree to deliver courses with a high standard of quality and professionalism. We reserve the right to review and approve course content and delivery. 4. Fees and Payments 4.1. Commission: We will charge a commission on the fees collected for each course booking made through our platform. The commission rate will be specified in a separate agreement. 4.2. Payment Processing: Payments for course bookings will be processed through our payment gateway. You will receive your share of the fees, minus our commission, within [specified time frame] after the course completion. 4.3. Refunds: You agree to our refund policy and authorize us to process refunds to users as specified in the Booking and Cancellation Policy. 5. Cancellation and Rescheduling 5.1. Trainer-Initiated Cancellations: If you need to cancel or reschedule a course, you must notify us and all enrolled users as soon as possible. Users will be offered the option to reschedule or receive a full refund. 5.2. No-Show Policy: If you fail to deliver a scheduled course without prior notification, we reserve the right to suspend or terminate your account and withhold payments. 6. Intellectual Property 6.1. Ownership: You retain ownership of all intellectual property rights in the course content you provide. By offering courses on our platform, you grant us a non-exclusive, royalty-free license to use, reproduce, and display the course content for the purpose of promoting and delivering your courses. 6.2. Infringement: You warrant that your course content does not infringe on any third-party intellectual property rights. You agree to indemnify us against any claims arising from such infringement. 7. Data Protection and Privacy 7.1. User Data: You must handle all user data in accordance with applicable data protection laws and our Privacy Policy. You are prohibited from using user data for any purpose other than delivering the course. 7.2. Confidentiality: You must keep confidential any information about our platform, business operations, and users that is not publicly available. 8. Termination 8.1. Termination by Trainer: You may terminate this Agreement at any time by providing 4 weeks written notice to us. 8.2. Termination by Us: We may terminate this Agreement and your access to the platform at any time for any reason, including but not limited to breach of this Agreement, by providing [specified notice period] written notice to you. 8.3. Effect of Termination: Upon termination, you must cease all use of the platform and remove all course content. Any outstanding payments will be processed in accordance with the terms of this Agreement. 9. Limitation of Liability 9.1. No Warranty: The platform is provided “as is” without any warranties, express or implied. We do not guarantee that the platform will be available at all times or free from errors. 9.2. Liability Limitation: To the maximum extent permitted by law, we will not be liable for any indirect, incidental, or consequential damages arising from your use of the platform. 10. General Provisions 10.1. Amendments: We reserve the right to amend this Agreement at any time.
